Management
buy-outs

Acting for a purchaser in the re-structuring of a family business in the food industry, involving the acquisition by a newly-formed holding company of the shares held by the former managers of the target company to their son.

Advising the management team of a large local supplier of office technology in the acquisition of the share capital of the company from the existing shareholders, involving institutional funding and financial assistance whitewash procedures.
 

Share sales

Acting for the owner/manager of a printing company in the sale of his shares to a third party purchaser, involving initial and deferred consideration on an earn-out basis. Negotiating the terms for the preparation of completion accounts and for assessing profit over future financial periods.
 

Business
sales

Acting for two business owners in the construction industry on the sale of a business recently incorporated from a partnership into a limited company. Advising on warranty liability and the assignment of insurance liabilities.
 

Corporate re-structuring

Advising an existing corporate client on the transfer of a percentage of existing share capital to senior managers of the business as part of an informal incentive scheme. Providing advice on shareholders’ rights and liabilities and potential option arrangements.

Advising various shareholders in the re-structuring of a group of companies following its acquisition by a foreign third party. Advising on the transfer of shares between group companies and the rights and obligations attaching to options granted to former shareholders.

Acting for the existing shareholder managers of a company in the issue of share capital to an investor. Advising on the terms of a shareholders’ agreement to govern the management rights of the investor.
 

Joint
ventures

Acting for a company involved in providing various services to the sports industry. Drafting documentation to govern the corporate entity to be set up to provide such services and the ongoing relationship between the parties as the ventures progress.
 

Company secretarial

Providing ongoing company secretarial services to a variety of companies at a fixed annual fee. Acting as registered office and company secretary and maintaining the statutory company books. Receiving all registered office correspondence and liaising with companies house for the filing of required forms and returns.
