A new Headquarters Building

Acting in a major construction project for the provision of new headquarters building for a government agency in Wallingford, Oxfordshire. This included the pre-letting agreement and lease, planning agreements, preparing and negotiating the professional appointments, warranties, building contracts and other related construction contracts.
 

A major Portfolio
Acquisition

Acting for a public limited company as part of the team dealing with the acquisition within a tight timescale of a substantial commercial property portfolio comprising 31 office and industrial properties across the UK, including advising on associated commercial and banking issues. Acquisition price £100m.
 

A strategic
Reading Site

Acting as part of the team in the acquisition, design, construction and development of a strategic site in Station Hill Reading. Acquisition price £28m.
 

Major portfolio
disposal

Acting for a public limited company in its £170m disposal of a portfolio comprising 37 properties located across England Wales and Scotland. The transaction involved liaising with offshore lawyers as a number of the companies were registered offshore. We also dealt with the complex issues involved in a share sale of a property trading company. Following completion we were retained to manage the portfolio by the purchasers themselves.
 

Lease of new
headquarters

Representing an international logistics company negotiating the lease of their head office. This was a new development requiring the incorporation of all the construction issues to ensure adequate protection for our client from the various contractors. In addition, a capped service charge was negotiated.
 

Office village
with mixed use

Representing a well-known property developer currently undertaking a large “office village” development in Warwick with a wider mixed use estate to provide approximately 700,000 square feet of space. This also involved the negotiation and completion of infrastructure agreements with both the district and county councils.
 

Surrender and
leaseback of office
and warehouse
facilities

Acting for a client in the surrender of two leases of a whole site in Bracknell and taking a new lease of part for warehouse office and research facilities with an initial rent of £525,000 per annum. This transaction had complications in respect of a split site where the freehold reversion changed hands during the course of negotiation.
 

Quick sale of
industrial estate

Acting in the sale of a multi-let industrial estate for £1.7m comprising nine units which was turned around and completed successfully in five weeks.
 

A Rugby Club
new stand
Acting for a rugby football club in the sale to a major house builder of land adjacent to the Stoop Memorial Ground Twickenham - an enabling development to provide part funding for the recently constructed Lexus Stand.
 
A Restaurant and
Microbrewery
Acting as part of the team dealing with the planning, pre-letting, building and co-ordination of an innovative design and build scheme in Reading.
 
Secured Lending

In the course of acting for major high street Banks the Team has dealt recently with some high-value and interesting properties involving complex and unusual issues of law and practice. These have included:

  • A marina including a natural harbour and a seaside site comprising a nightclub, fairground attractions, retail outlets and boat storage. The harbour had its own Act of Parliament giving rights and powers relating to management of the harbour. Dredging licences and floating jetties and moorings also featured in the transaction.

  • A large hotel valued at £8 million forming part of an international hotel chain. The work involved reporting on the hotel business, (including licences, contracts and employees) and on leases of various retail shops within the hotel complex.

Landlord and Tenant

The many lease transactions recently handled by the Team have included some specialised properties, including:

  • The sale and leaseback of two state of the art health clubs; one with an attached golf course, at a total value of £35m with lease back rents of £2.5m per annum.

  • The lease of a garage to a Bentley dealer

  • The sale at a price of £6m and leaseback at a rent in excess of £600k per annum of engineering testing facilities and offices for a UK subsidiary of a US petroleum company

  • Several golf courses and club houses
